These Terms & Policies (the "Terms") govern your access to and use of the ShippinX website (the "Site") and the services offered by ShippinX (referred to as "we", "us" or "our"), including but not limited to online quotation, order management, shipment tracking, ocean and air freight, DDP delivery, trucking, FBA inbound, overseas warehousing and order fulfillment (collectively, the "Services"). By accessing the Site or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree to any part of these Terms, please do not use the Site or the Services.
If you use the Services on behalf of a company or other entity, you represent and warrant that you are duly authorized to bind that entity, and "you" as used in these Terms refers to both you personally and the entity you represent.
We are an international logistics and supply chain solutions provider headquartered in California, United States, offering end-to-end logistics services between China and North America, including FCL and LCL ocean freight, air freight, DDP delivery, cross-border trucking, FBA inbound, overseas warehousing and last-mile delivery. Our network is centered on North America, covering the major US West and East Coast ports, Canada and Mexico, with full-link fulfillment from first-mile pickup and export customs clearance to destination clearance and final delivery.
The specific scope, rates, transit times and operational requirements of any service are set out in your online quotation request, in our formal quotation, in the order confirmation, or in a separate written agreement executed by both parties, as applicable. We reserve the right to reasonably adjust our service offerings in response to changes in capacity, market conditions, laws and regulations, and security circumstances, and will notify you in advance where practicable.
(a) A quotation request submitted through the Site does not constitute an offer. A quotation issued by us, while valid, sets out the initial conditions on which we are prepared to accept the shipment. Quotations may include freight charges, surcharges, fuel charges, customs brokerage fees and other necessary costs, all as identified in the quotation and the order confirmation.
(b) Quotations are valid for the period stated therein. If the quotation expires, or if market rates, exchange rates or fuel prices change materially, we reserve the right to revise the quotation and seek re-confirmation.
(c) Payment methods, terms and currency are as agreed in the order confirmation or the applicable agreement. If payment is not received by the due date, we may suspend, delay or cancel the Services and charge you for resulting storage, demurrage and other reasonable costs.
(d) Any dispute over an invoice must be raised in writing within ten (10) business days of receipt; otherwise the invoice is deemed accepted.
(a) You must provide us with accurate, complete and truthful information, including but not limited to the shipper and consignee details, descriptions, quantities, values, tariff codes, declaration data and invoice documents. You are solely responsible for any costs, penalties, delays or third-party claims arising from false, incomplete or erroneous information provided by you, and for ensuring that the goods comply with the laws and regulations of China, the United States and all other relevant jurisdictions.
(b) You must package the goods to industry standards so that they are safe under normal transport conditions. You are responsible for damage, shortage or leakage caused by improper packaging.
(c) You must keep your account credentials for the Site and the client portal confidential and must not transfer or lend them. You are responsible for all consequences arising from the use of your account by others as a result of your own actions.
(a) The following items are generally not accepted for carriage, or may only be accepted with our prior written consent and special arrangements: dangerous goods such as flammable, explosive, corrosive or toxic substances; weapons, ammunition and similar items; cash, negotiable securities, precious metals and jewelry; currencies and lottery tickets; counterfeit or infringing products; items that violate the laws of the destination country or international treaties (including certain foodstuffs, animal and plant products, and pharmaceuticals); and other items prohibited by us or by the carrier.
(b) Shipments containing batteries, magnets, powders, liquids or other special goods must be truthfully declared before booking and must comply with applicable regulations, packaging and documentation requirements. We may refuse to carry any undeclared or misdeclared shipment and hold you responsible for all resulting costs and consequences.
(c) If any shipment violates these Terms or applicable laws and regulations, we may immediately suspend the related Services and report the matter to the relevant authorities.
(a) We or our authorized customs broker will file US customs declarations on your behalf in accordance with your instructions. You must provide all required documents and data and ensure that the declared contents match the actual goods.
(b) All import duties, excise taxes, VAT, examination fees, warehousing, terminal handling and demurrage charges, and other taxes and third-party costs related to the import of the goods are for the account of the consignor (you), unless otherwise agreed in writing (for example, under a DDP arrangement).
(c) If customs examination, seizure, return or destruction occurs as a result of inaccurate declarations or non-compliance of the goods with import requirements, the resulting costs and losses are for your account. We may advance such payments and are entitled to recover them from you.
(a) All transit times stated on the Site or in quotations are estimates for reference only and do not constitute a commitment or guarantee by us. Actual transit times are affected by a wide range of factors, including vessel and flight schedules, customs clearance, examinations, weather, public holidays, port congestion and capacity deployment.
(b) We are not liable for delays, interruptions or losses caused by force majeure events (including but not limited to natural disasters, war, strikes, riots, pandemics, government actions, policy changes, customs detentions, port closures, vessel or flight delays and network failures), but we will make reasonable efforts to assist you in such circumstances.
(a) The consignee must inspect the outer packaging and the quantity of the goods upon delivery. Any damage, shortage or abnormal packaging must be noted on the delivery receipt and reported to the driver on the spot, and a written claim with supporting evidence (including photographs, weight records and proof of value) must be submitted to us within seven (7) days of delivery. Claims not made within this period will be deemed waived and the goods will be deemed to have been delivered in good condition.
(b) For loss or damage to goods, our liability is limited to the freight paid for the relevant shipment or to the limit set by applicable international conventions, laws and carrier terms, whichever is lower. You may obtain greater coverage by purchasing insurance or value-added protection services.
(c) We are not liable for: natural disasters, war and terrorist activities; inherent defects, natural deterioration or improper packaging; incorrect shipper or consignee information resulting in non-delivery; customs examination, detention or regulatory requirements; prohibited or undeclared goods; and other circumstances exempted by law or agreed by the parties.
If goods are refused by the consignee, are undeliverable due to an incorrect address or unavailability of the recipient, or are held by customs or on account of unpaid duties or freight, any resulting return, transshipment, abandonment or storage costs, including warehousing, handling, return shipping and destruction charges, are for the account of the consignor. We will notify you within reason and assist with the disposal, but you must make a decision within a reasonable period; otherwise we may dispose of the goods in accordance with applicable laws and industry practice.
(a) You must keep your client portal account information confidential and are responsible for all activities under your account. You must notify us immediately of any suspected unauthorized use.
(b) You agree not to interfere with, disrupt or bypass the security mechanisms of the Site, not to use automated programs (such as crawlers or scrapers) to extract large volumes of data, and not to use the Site for any unlawful purpose or in any manner that infringes the rights of others.
